These Terms of Service govern the use of the website at www.rmzyventures.mom and the booking and scheduling coordination services provided by RMZY Ventures LLC. By sending a booking request, accepting a written confirmation or otherwise working with the desk, a client agrees to these terms. A person who does not agree should not use the desk and should contact the company to discuss any point before proceeding.
The desk coordinates venues, crews, seasonal programmes, equipment and group events from its office at 1197 E 450 N, American Fork - 84003-4038, United States (US). The desk is not a venue, an employer of crew, a supplier of equipment or an event producer. It holds the plan, records the commitments and keeps every party informed, while the underlying goods and spaces remain the responsibility of their own owners and providers.
Please read the sections on holds, confirmations, changes and liability with particular care. They describe the limits of what the desk can promise and the steps that apply when a date moves or a booking ends early. Questions about these terms can be sent to bookings@rmzyventures.mom or raised by telephone on +13253994143.
1. Agreement to These Terms
These terms form a binding agreement between the client and RMZY Ventures LLC. They apply from the moment a person sends a request to the desk and continue until the booking is closed and any outstanding matter is resolved. Where a separate written agreement has been signed by both parties, that agreement takes priority over these terms to the extent of any conflict.
The company may update these terms from time to time. The date at the top of the page shows when the current version took effect. A booking that was confirmed before a change continues under the version in force at the time of confirmation, unless the client agrees to the new version. For any new request, the version published on the website at the time of the request applies.
These terms are written in plain English so that a client can understand the arrangement without legal training. Where a word has a particular meaning, it is explained at the point where it is used. The headings are for convenience only and do not affect the meaning of the sections.
2. The Services
RMZY Ventures LLC operates a booking and scheduling coordination desk. The desk offers six connected services: venue booking, crew scheduling, seasonal programme slots, equipment reservations, group event coordination, and the handling of cancellations and changes. The services page on this website describes each of them in detail and forms part of the background to these terms.
The desk arranges, records and confirms. It does not own the premises placed on a schedule, does not employ the people who work at an event and does not manufacture or own the equipment reserved for a booking. When the desk confirms a venue or a supplier, the confirmation reflects what that party has agreed to provide and the terms on which it has agreed to provide it.
From time to time the desk may suggest a change to a request, for example a different room where the first choice is unavailable, or a shift time that better fits the access arrangements of a venue. A suggestion is not a commitment, and the client is free to accept or decline it. The booking proceeds only on the basis that the client has accepted.
The desk may decline a request where it cannot be handled properly, where the information supplied is incomplete in a material respect or where the request falls outside the scope of the services. Where a request is declined, the desk explains the reason in writing and, where possible, points to a suitable alternative.
3. Eligibility and Authority
A client must be at least eighteen years of age and legally able to enter into a contract. Where a request is made on behalf of an organisation, the person making the request confirms that they have authority to act for that organisation and to bind it to these terms.
The client is responsible for ensuring that everyone named in a booking has agreed to be named and has received the details that affect them. This is particularly important for crew members, who need to know their shift times and location, and for attendees, who may need to know about access arrangements or programme changes.
Where a client acts for a group, a family or a committee, the desk treats the person who confirms the booking as the single point of contact. Instructions from that person are treated as instructions from the whole group unless the client has told the desk, in writing, that another arrangement applies.
4. Booking Requests
A booking request may be sent through the contact form on this website, by email to bookings@rmzyventures.mom or by telephone on +13253994143. The desk prefers requests in writing because a written request can be checked against the board and answered precisely. A request made by telephone is written up by the desk and sent back to the client for confirmation.
A request should include the requested dates and any alternatives, the type of space or resource required, the approximate number of attendees or workers, the name and contact details of the person confirming the booking, and any special requirements such as loading access, accessibility needs or equipment that must travel with the event.
The desk may ask for further information before it can act on a request. A request is not accepted until the desk has sent a written confirmation and the client has accepted it. Sending a request does not create a booking, does not reserve a date and does not create an obligation on the desk to hold a slot.
5. Holds and Confirmations
The desk uses two distinct states for every slot: a hold and a confirmation. A hold means that a venue, a supplier or a crew agency has agreed to set a window aside for a short period while the client decides. A hold is provisional, is time limited and may be released if the client does not confirm before the stated expiry.
A confirmation means that the client has accepted the written summary and the relevant party has agreed to the slot. Once confirmed, the slot moves to the booking ledger and the desk notifies the parties involved. The desk records the date and time of the confirmation so that the sequence is clear if a question arises later.
Every written summary from the desk states whether the arrangement is a hold or a confirmation and, for a hold, the date on which it expires. A client should read the summary carefully and should tell the desk immediately if anything in it is inaccurate. Silence is not a confirmation, and a hold that has expired cannot be relied upon.
Where more than one client asks for the same slot, the desk does not keep both holds open indefinitely. It informs each client of the competition, states the expiry of the existing hold and offers the other client the position of first refusal once the hold is released. The desk does not accept payment to move an existing confirmed booking aside for a later request.
6. Fees and Payment
The desk charges a coordination fee for the work it performs in arranging, recording and confirming a booking. The fee is set out in the written summary before the client accepts, and it reflects the scope of the work, the number of slots involved and the duration of the arrangement. The desk does not add a charge that was not disclosed in the summary.
Costs charged by venues, suppliers and crew agencies are separate from the desk fee. Those parties invoice for their own services under their own terms, and the client remains responsible for paying them. The desk may collect some of those costs on behalf of a venue or supplier where this is agreed in advance and stated in the summary.
Unless the summary states otherwise, fees are payable within fourteen days of the invoice date. Payment may be made by the methods listed on the invoice. The desk does not store full payment card details on this website and does not request card numbers through the contact form.
Where an invoice is not paid by the due date, the desk may pause work on the booking, release any unconfirmed holds and, after giving written notice, decline to proceed with the arrangement. The desk may charge reasonable costs incurred in recovering an overdue amount, where the law allows. The desk would rather discuss a difficulty early than allow a balance to accumulate without comment.
7. Client Responsibilities
The client is responsible for supplying accurate information and for telling the desk promptly when information changes. A wrong date, an understated attendee count or an access requirement that is discovered late can affect a venue, a crew and a supplier at the same time, and the client is responsible for the cost of correcting such an error where it arises from information the client supplied.
The client is responsible for the behaviour of attendees and for compliance with the rules of any venue used in the booking. Venues set their own conditions about noise, alcohol, parking, decoration, cleaning and the time by which a space must be vacated. Those conditions form part of the booking, and the client should read them before the event.
The client is responsible for obtaining any permit, licence or insurance that the event requires. The desk can note such requirements in the booking file, but it does not obtain permits on behalf of the client and does not provide insurance. Where a venue requires evidence of insurance, the client must supply it before the date.
The client is also responsible for the security of any property brought to a venue, for the conduct of any contractor the client engages directly and for returning any reserved equipment in the condition in which it was received, subject to ordinary wear and tear.
8. Venues, Suppliers and Crew
Venues, suppliers and crew agencies are independent parties. The desk coordinates with them and records their commitments, but it does not control their operations, their staff or the quality of the goods and services they provide. The client contract for a venue or a piece of equipment is with the party that owns it, even where the desk has arranged the contact.
Where a venue or supplier fails to perform, the desk will help the client to establish what happened, will provide the relevant part of the booking record and will work to find a practical alternative where one exists. The desk cannot, however, guarantee that a third party will perform, and it is not liable for a loss that arises solely from the conduct of an independent party.
Crew members are engaged through their own arrangements with the client or with a crew agency. The desk builds the rota and issues notices, but it does not direct the manner in which crew members work and does not supervise them on site. Any question about pay, working conditions or conduct is a matter between the crew member and the party that engages them.
Where the desk recommends a venue, a supplier or a crew agency, the recommendation is based on experience and on the requirements of the booking. It is not a warranty of the quality of that party, and the client should make its own assessment before confirming.
9. Changes and Cancellations
Requests to change a confirmed booking should be made in writing as soon as the need is known. The desk will check what can be moved, consult the venue or supplier where necessary and send a revised summary. A change is effective only when the revised summary has been accepted by the client and the affected party has agreed.
The desk processes changes in a fixed order: it records the request, checks the terms that apply, notifies the venue or supplier, then notifies the crew and any other affected party. This order prevents a crew member or a supplier from learning of a change from someone outside the desk. Each notification is confirmed in writing and kept with the booking file.
Charges for a change depend on the notice given and on the terms of the affected party. A venue may charge for a late cancellation or a moved date, and a supplier may charge when an item has already been prepared or dispatched. The desk states the likely charges before the client decides, so that the decision is made with clear information.
A cancellation should be sent in writing and is effective when the desk confirms receipt. The desk will acknowledge a cancellation within one working day, release the affected slots and send a closing summary that states what remains in place and what has been released.
10. Refunds and Credits
Where a booking is cancelled before any work has begun on a slot, the desk fee for that slot is normally refundable in full. Where work has begun, for example where a venue has been approached, a hold has been placed or a rota has been prepared, the desk may retain the part of the fee that reflects the work already done. The written summary sets out the position before the client accepts.
Where the desk is unable to provide a service because of a fault on its own side, it will offer to complete the work at a later date or to refund the fee for the affected part. The client chooses which remedy to accept, and the desk will not require the client to accept a credit where a refund is requested for a failure of this kind.
Amounts paid to a venue or a supplier are governed by the terms of that party. The desk can help the client to make a claim, but it cannot promise a refund that the venue or supplier does not agree to give. Any refund made by the desk is paid to the account from which the original payment came, unless another arrangement is agreed in writing.
Credits issued by the desk are valid for twelve months from the date of issue and may be applied to any service offered by the desk. A credit is not transferable to another person without the written agreement of the desk. Unused credits expire at the end of the validity period, and the desk will remind the client before expiry where a reminder is practical.
11. Acceptable Use of the Website
The website is provided for information and for sending booking requests. A visitor may view the pages, print them for personal reference and use the contact form for its intended purpose. A visitor may not attempt to gain unauthorised access to the site or to any system connected with it, may not interfere with its normal operation and may not use automated tools to copy its content in bulk.
A visitor may not send content through the contact form that is unlawful, threatening, abusive, defamatory or misleading, and may not send material that contains a virus or other harmful code. The desk may refuse to act on a request that contains such content and may report a serious matter to the relevant authority.
The desk may suspend access to the website for maintenance or for security reasons. Where a suspension is planned, the desk will try to give notice on the site. The desk does not guarantee uninterrupted availability and is not liable for a delay that results from a temporary interruption outside its control.
12. Intellectual Property
The content of this website, including the text, the layout, the design, the graphics and the code, is owned by RMZY Ventures LLC or is used with permission. The content is protected by copyright and other intellectual property laws. A visitor may view and print the pages for personal or internal business reference but may not reproduce, republish or distribute the content for commercial purposes without written permission.
The name RMZY Ventures LLC, the trading name connected with the booking desk and any associated marks are the property of the company. Nothing on the website grants a licence to use those names or marks except with prior written consent.
Material sent to the desk by a client, such as a floor plan, a programme or a photo, remains the property of the client. The client grants the desk permission to use that material for the purpose of the booking, including sending it to a venue or supplier where the booking requires it. The desk does not use client material for promotion without specific consent.
13. Privacy and Data
The handling of personal information is described in the Privacy Policy, which forms part of these terms. The policy explains what the desk collects, why it is collected, how long it is kept and how a person can exercise their rights. A client should read the policy before sending information about other people, such as crew members or attendees.
Where a client supplies information about other people, the client confirms that those people have been told how their information will be used and that the client has the authority to share it. The desk uses such information only for the booking and does not add it to a marketing list.
The desk takes reasonable steps to protect the information it holds, but no method of transmission or storage is completely secure. A client should avoid sending sensitive information such as identity documents or payment card numbers through the contact form. Where such information is genuinely needed, the desk will suggest a safer method.
14. Disclaimer of Warranties
The website and the services are provided on an as available basis. To the fullest extent permitted by law, RMZY Ventures LLC makes no warranty that the website will be free of errors, that it will be available without interruption or that the information on it is complete at every moment. The desk works to keep the information accurate and current, but a client should confirm the details of a booking in the written summary rather than relying on a page of the website.
The desk does not warrant the performance of a venue, a supplier or a crew agency, and it does not warrant that an event will achieve a particular outcome, attendance or financial result. The desk warrants that it will perform its coordination work with reasonable care and skill and in accordance with the written summary that the client has accepted.
Some jurisdictions do not allow the exclusion of certain warranties. Where such a rule applies, the exclusion in this section is limited to the extent that the rule requires, and the remainder of the terms continues in force.
15. Limitation of Liability
To the fullest extent permitted by law, RMZY Ventures LLC is not liable for indirect, incidental, special, consequential or punitive loss, or for loss of profit, loss of revenue, loss of opportunity or loss of goodwill, however that loss arises and whether or not the possibility of the loss was known to the company.
Where liability cannot be excluded, the total liability of the company for all claims arising from a booking is limited to the amount of the coordination fee paid to the desk for that booking. This limit does not apply to liability for death or personal injury caused by negligence, for fraud or for any other matter that the law does not allow to be limited.
The desk is not liable for a loss caused by a delay in notification where the client did not supply accurate contact details, or by a failure of a telephone or email service outside the control of the desk. The desk is not liable for a loss that arises from a decision the client made against written advice from the desk, provided that the advice was clear and recorded.
A client should tell the desk about a problem as soon as it becomes known. A delay in reporting a problem can make it harder to correct and may affect what the desk is able to do. The desk will always try to resolve an issue directly before it becomes a formal claim.
16. Indemnity
The client agrees to indemnify and hold harmless RMZY Ventures LLC, its members, officers and staff from any claim, loss, liability, cost or expense that arises from the client breach of these terms, from inaccurate information supplied by the client, from the conduct of attendees at an event, or from the client failure to obtain a permit or insurance required for the booking.
This indemnity does not apply to a claim that arises from the negligence or wilful misconduct of the desk itself. Where a claim is covered by the indemnity, the desk will notify the client promptly, will allow the client to take part in the defence where it is reasonable to do so and will not settle the claim without the client consent unless a settlement is required to protect the desk from immediate harm.
The client is not required to indemnify the desk for a loss that the desk could reasonably have avoided by taking ordinary care in the performance of its own work.
17. Events Beyond Control
Neither party is liable for a failure to perform an obligation where the failure is caused by an event beyond that party reasonable control. Such events include severe weather, fire, flood, earthquake, epidemic, civil disorder, war, a strike, a failure of a public utility, a government order or a failure of a communications network.
Where such an event affects a booking, the desk will tell the client as soon as it is aware, will work with the venue and the supplier to find an alternative date or arrangement and will record the outcome in the booking file. Where an alternative cannot be found, the desk will apply the refund and credit rules in these terms, taking into account the work already performed and the terms of the affected parties.
A party affected by such an event must take reasonable steps to reduce the effect of the event on the other party. The obligation to perform resumes as soon as the event has ended and the affected party is able to continue.
18. Suspension and Termination
The desk may suspend or end its work on a booking where a client fails to pay an undisclosed or overdue amount, where a client supplies information that is materially false, where a client behaves in a threatening or abusive way toward desk staff or where continuing the work would place the desk or another party at risk. The desk will give written notice and an opportunity to respond unless the risk is immediate.
The client may end the arrangement at any time by writing to the desk. Ending the arrangement does not remove an obligation to pay for work already performed or to meet a commitment already made to a venue or supplier. The desk will provide a closing summary that sets out what has been done, what remains outstanding and what has been released.
Where the desk ends the arrangement for a reason other than a client breach, it will refund the fee for work not yet performed and will help the client to transfer a confirmed slot where the venue or supplier agrees. Where the arrangement ends because of a client breach, the desk may retain the fee for work already performed and may recover the reasonable cost of unwinding a confirmed slot.
19. Governing Law and Disputes
These terms are governed by the laws of the state of Utah, United States, without regard to its conflict of law rules. The parties agree that the state and federal courts located in Utah have jurisdiction over a dispute that cannot be resolved between them, except where a mandatory rule of the client home jurisdiction provides otherwise.
Before starting a formal claim, the parties agree to try to resolve the matter directly. The client should write to bookings@rmzyventures.mom with a description of the issue and the outcome sought. The desk will respond within fourteen days and will propose a practical resolution where one is possible. A meeting by telephone or in person at the American Fork address may be arranged if that helps.
If direct discussion does not resolve the matter, the parties may agree to mediation before an independent mediator. Mediation is voluntary and does not prevent either party from seeking a court remedy if the matter remains unresolved. Nothing in this section prevents a party from seeking urgent relief from a court to protect its rights.
20. General Provisions
These terms, together with the written booking summary and the Privacy Policy, form the entire agreement between the client and the desk in relation to the booking. They replace any earlier discussion, quotation or representation on the same subject, except where a representation was made fraudulently.
If a provision of these terms is found to be invalid or unenforceable, that provision is limited to the minimum extent necessary and the remaining provisions continue in force. A failure by the desk to enforce a provision on one occasion does not waive the right to enforce it on another occasion.
The client may not transfer its rights or obligations under these terms to another person without the written consent of the desk. The desk may transfer its rights or obligations to a successor business where the successor agrees to honour the terms of existing bookings and where the client is notified of the change.
Notices to the desk should be sent by email to bookings@rmzyventures.mom or by post to RMZY Ventures LLC, 1197 E 450 N, American Fork - 84003-4038, United States (US). Notices to the client are sent to the email address supplied in the booking request. A notice is treated as received on the next working day after it is sent by email, unless the sender receives a delivery failure message.
No person other than the client and the company has the right to enforce a provision of these terms. The headings in these terms are for convenience only and do not affect the interpretation of the sections.
21. Contact Details
RMZY Ventures LLC operates the booking and scheduling coordination desk described in these terms. The company address is 1197 E 450 N, American Fork - 84003-4038, United States (US). The contact email is bookings@rmzyventures.mom and the contact telephone number is +13253994143. The website address is www.rmzyventures.mom.
Questions about these terms are welcome and are usually answered within one working day. The desk would rather explain a clause than have a client sign up to an arrangement that is not fully understood. A written summary of any explanation can be added to the booking file on request.
Thank you for working with RMZY Ventures LLC. The desk looks forward to keeping the board orderly for the dates that matter to you.
